These Terms of Service ("Terms") govern your access to and use of the FinSnap website, application, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Services
FinSnap provides software tools designed to assist with financial document processing, reconciliation, and ledger preparation.
- Extract and parse uploaded documents.
- Generate suggested matches and classifications.
- Allow users to review, override, and export results.
FinSnap is an assistive software tool. It does not provide accounting, legal, tax, or financial advice and does not create a fiduciary relationship. You remain responsible for all accounting decisions, filings, and compliance obligations.
2. Eligibility and Accounts
You must be legally capable of entering into a binding agreement to use the Services.
- You are responsible for maintaining the confidentiality of account credentials.
- You are responsible for all activity under your account.
- You must provide accurate and lawful information.
3. User Content and Outputs
Your Content
You retain ownership of all documents, data, and information you upload ("User Content").
You grant FinSnap a limited, non-exclusive license to process User Content solely to provide and operate the Services.
Outputs
You own the structured outputs and results generated from your User Content. FinSnap retains ownership of the underlying software, models, systems, and intellectual property used to generate those outputs.
Your Responsibilities
- You have the right to upload and use the content you provide.
- Your use complies with applicable laws.
- You will independently review and validate all outputs.
- You will maintain independent backups of your records.
4. Automated Outputs
The Services generate automated outputs based on uploaded data.
- Outputs are suggestions, not final determinations.
- Errors may occur due to data quality or system limitations.
- You are responsible for reviewing and approving results.
FinSnap does not guarantee accuracy, completeness, or suitability for any purpose.
5. Acceptable Use
- No unlawful use.
- No interference with system operation.
- No unauthorized access attempts.
- No reverse engineering except as permitted by law.
We may suspend or terminate access for violations.
6. Fees and Payments
Paid plans may be offered on a subscription basis.
- Fees are billed as disclosed at purchase.
- Subscriptions may renew automatically unless cancelled.
- You authorize us to charge your payment method.
- Fees are non-refundable unless required by law.
- Failure to pay may result in suspension.
7. Availability and Changes
We may modify, suspend, or discontinue parts of the Services at any time.
Some features may be labeled beta or experimental and may change or be removed without notice.
We do not guarantee uninterrupted availability.
8. Intellectual Property
The Services and all related software and materials are owned by FinSnap or its licensors. You are granted a limited, non-transferable, non-exclusive right to use the Services in accordance with these Terms.
9. Disclaimer of Warranties
The Services are provided "as is" and "as available."
To the maximum extent permitted by law, FinSnap disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law:
- No liability for indirect, incidental, or consequential damages.
- Aggregate liability will not exceed the greater of (a) the amount paid in the 12 months preceding the claim, or (b) CAD $100 if no fees were paid.
11. Indemnification
You agree to indemnify and hold harmless FinSnap from claims arising from:
- Your use of the Services.
- Your User Content.
- Your violation of these Terms or applicable laws.
12. Force Majeure
FinSnap is not liable for failure or delay caused by events beyond reasonable control, including infrastructure outages, third-party service failures, natural disasters, or governmental actions.
13. Termination
You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or if continued access poses legal or operational risk.
14. Governing Law and Venue
These Terms are governed by the laws of the Province of Alberta and the laws of Canada applicable therein. The courts of Alberta have exclusive jurisdiction over disputes arising from these Terms.
15. Changes to These Terms
We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance.
